TERMS AND CONDITIONS

These Terms and Conditions ("Terms") apply to all services provided by Humbly Studio ("we," "our," "us") and form the basis of the agreement between Humbly Studio and you ("you," "client," "customer"). By working with us, booking a service, or purchasing any product, you agree to be bound by these Terms.
Application and Entire Agreement
These Terms apply to all services and communications between you and Humbly Studio. They represent the entire agreement unless otherwise mutually agreed in writing. Any other terms or conditions are excluded unless expressly accepted by us in writing.
Interpretation

"Services" refers to branding, web design, strategy, digital product creation, or any consulting or creative work provided by Humbly Studio.

"Agreement" means these Terms together with any proposal, scope of work, or contract explicitly agreed to by both parties.
Services
We agree to provide services as described in our proposal or package, tailored to your needs and timeline. Services will be delivered with care, professionalism, and in alignment with our creative standards.
We reserve the right to decline or withdraw from a project if, at our discretion, it conflicts with our values, capacity, or legal obligations.
Your Obligations
You agree to:

Provide all requested materials, content, and feedback in a timely manner.

Ensure all assets you provide (text, images, logos, etc.) are owned by you or you have permission to use them.

Cooperate with us in good faith and respect agreed timelines.
Fees and Deposits

A non-refundable deposit (typically 30–50%, depending on scope) is required to secure your project start date.

The remaining balance is due according to the payment schedule outlined in your proposal or invoice.

Late payments may result in paused work, delayed delivery, or cancellation of services.
Cancellation and Amendment

You may cancel services with written notice. Deposits are non-refundable, and any work completed to date must be paid in full.

If we need to amend or cancel the project for reasons outside your control, we will notify you promptly and offer reasonable alternatives or a partial refund if applicable.

Revisions or scope changes requested after a project begins may incur additional fees.
Payment

All payments must be made in USD unless otherwise agreed.

Accepted payment methods include bank transfer, credit card, or secure payment platforms (e.g., Stripe or PayPal).

Invoices must be paid within the terms stated (usually 7–14 days). Late payments may incur a fee.
Sub-Contracting and Assignment
We reserve the right to delegate certain tasks to trusted collaborators or subcontractors. We remain responsible for ensuring the quality and confidentiality of the work delivered.
You may not assign or transfer this agreement to another party without our written consent.
Termination
We reserve the right to terminate the agreement if:

You fail to comply with these Terms

You do not provide required assets or communication for 30 days or more

You engage in behavior we deem unprofessional or abusive
In such cases, payments made will not be refunded, and any work completed to date will be billed in full.
Intellectual Property

All custom designs, brand strategy, and content created by Humbly Studio remain our intellectual property until final payment is received.

Upon full payment, we grant you a non-exclusive, non-transferable license to use the final deliverables for your business.

We reserve the right to showcase completed work in our portfolio or promotional materials unless otherwise agreed in writing.
Liability and Indemnity

We are not liable for any indirect or consequential loss arising from the use or misuse of our work.

You agree to indemnify us against all claims, damages, and liabilities arising from materials you supply or from the misuse of our services.
Data Protection
We respect your privacy. Any personal or business data collected will be handled in accordance with our Privacy Policy and applicable data protection laws.
Circumstances Beyond Our Control
We are not liable for delays or failure to perform due to circumstances beyond our reasonable control, including but not limited to illness, natural disasters, internet outages, or acts of government.
Communications
All communication will be via email or other agreed-upon platforms. It is your responsibility to ensure our emails are received and not lost in spam or junk folders.
No Waiver
Failure by either party to enforce any provision of these Terms at any time shall not be considered a waiver of the right to enforce that provision in the future.
Severance
If any part of these Terms is deemed unenforceable or invalid, the remainder shall remain in full force and effect.
Governing Law and Jurisdiction
These Terms are governed by the laws of the State of New York/Connecticut, United States. Any disputes will be subject to the exclusive jurisdiction of the courts of that state.
